RAPIDS SUPPORT LOCAL SCARF DESIGN CONTEST OFFICIAL RULES

ELIGIBILITY: The Rapids Support Local Scarf Design Contest (the “Contest”) is open to legal residents who are eighteen (18) years of age or older at the time of entry and live within a seventy-five (75) mile radius from Commerce City, Colorado (an “Eligible Entrant”). Scarf designs created by a minor child may be considered for the Contest if they are submitted by the child’s parent/legal guardian and such parent/legal guardian is an Eligible Entrant. Employees, officers, and directors (including immediate family members (spouse/domestic partner, parent, child and sibling and their respective spouses/domestic partners, regardless of where they reside) and members of the same household, whether or not related) of Sponsor (defined below), Kroenke Sports & Entertainment, LLC, Major League Soccer, LLC (“MLS”), and Soccer United Marketing, LLC (“SUM” and collectively with Sponsor and MLS, the “MLS Entities”) and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Contest (collectively, “Contest Entities”) are not eligible to participate or win a Prize. The Contest is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited or restricted by law, rule or regulation. Participation constitutes entrant’s full and unconditional agreement to these Official Rules on behalf of entrant or entrant’s child, if applicable, and Sponsor’s decisions, which are final and binding in all matters related to the Contest, including but not limited to the administration and operation of the Contest. Winning a Prize is contingent upon fulfilling all requirements set forth herein.

OBJECTIVE: The Rapids need you to help design a fan-inspired, support local Scarf. Sponsor will select fan artwork submitted during the Entry Period to become an official, limited edition Rapids scarf.

HOW TO ENTER: The Contest begins on April 26, 2024 at 9:00am and ends on May 6, 2024 at 12:00 am (“Entry Period”). All times listed are in Mountain Time. All entries must be received by Sponsor by the end of the Entry Period. Sponsor reserves the right to extend or shorten the Entry Period in its sole discretion, and to cancel, terminate, modify or suspend the Contest for any reason in Sponsor’s sole discretion. Sponsor’s clock shall be the official clock of the Contest. There is no limit to the number of entries. All information and files submitted in format specified will become property of Sponsor and used as provided in the MLS Terms of Use and Privacy Policy, each of which can be found by visiting http://www.mlssoccer.com/terms-service and https://www.mlssoccer.com/legal/privacy-policy (both of which are incorporated herein by reference).

During the Entry Period, go to http://www.coloradorapids.com/supportlocal to download a printable .pdf template for your scarf design. Apply your design to the printable pdf- get creative! Your design should be two dimensional, one-sided and must stay within the parameters of the scarf template. Submit your final scarf design by clicking the entry link at http://www.coloradorapids.com/supportlocal and completing the online entry form for the Contest by filling out the required fields including:

7) Short artist bio and inspiration behind the artwork

By submitting your completed online entry form and uploading your artwork and all other requested information as directed, you will receive one (1) entry in the Contest. Entrants must fully complete and submit all non-optional data requested on the online entry form to be eligible. Incomplete entries are void. In the event of dispute over the identity of an Eligible Entrant, an entry will be deemed made by the Authorized Account Holder of the e-mail address submitted at the time of entry, and the Potential Winner may be required to provide identification sufficient to show that he/she is the Authorized Account Holder of such e-mail address. The “Authorized Account Holder” is deemed the natural person who is assigned to the e-mail address in question by the applicable Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. It is solely the responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her e-mail or postal address.

This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter or Instagram. You are providing your information to Sponsor and not to Facebook, Twitter or Instagram.

JUDGING: A panel of Sponsor-selected judges will judge all eligible entries received. Eligible entries will be judged on the following basis:

  • 20%: Subject matter of artwork, and pertinence to the theme being requested
  • 60%: Overall artistic impression including a strong visual and creative concept that draws the viewer’s eye
  • 20%: Represents the integrity and value of the Colorado brand; something the Club would be proud to put its name on

Eligible entries will be judged at the end of the Entry Period (the “Review Period”) and, subject to the paragraph that follows, the entrants who submitted the entries with the 3 highest scores based on the judging criteria, as determined by the judges in their sole discretion, will be the finalists of the Contest (the “Finalists”), subject to verification of eligibility and compliance with the terms of these Official Rules. In the event of a tie, an additional, tie-breaking judging will determine the Finalists from among the tied entries using the judging criteria outlined herein.

Sponsor reserves the right to not to select any submissions during a Review Period, at the sole and exclusive discretion of the panel of judges. The decisions of Sponsor and the panel of judges are final and binding on all matters relating to this Contest.

On or about May 8, 2024, the Finalists will be posted on the Colorado Rapids Support Local page (http://www.coloradorapids.com/supportlocal), sent to the Rapids email database and posted on the Rapids’ social channels for people to vote on their favorite design. On May 10, 2024, the voting will close and the scarf design with the most votes will be declared the winner (“Winner”). The Winner will be notified by Saturday May 11, 2024.

ARTWORK SUBMISSION REQUIREMENTS/SPECIFICATIONS: Artwork must meet the following technical requirements:

  1. The artwork must be one-sided, two dimensional, created on the scarf template provided and contained within the boundaries of the scarf template.
  2. File Format: Eps or high res .png file; print ready PDF digital files
  1. The artwork content must be directly associated with the support local theme
  2. The artwork should not contain any personal signatures or tags

Content Guidelines: All artwork must be the original work of the Eligible Entrant, must have been created specifically for the Contest, and must not have been previously published, released commercially or won any awards.

Artwork must not include, depict or make reference to any of the following: obscenity, inappropriate language, nudity, sexual explicitness, drug or alcohol use, violence, firearms/weapons, commercial products, material that promotes any activities that may appear unsafe or dangerous, or promotes any particular political agenda or message, material that is hateful, tortious, defamatory, false or misleading, disparaging, slanderous, libelous, or otherwise unlawful, material that violates or infringes another’s rights, including but not limited to, rights of privacy or publicity, copyrights, trademarks, patents or any other intellectual property rights, material that promotes bigotry, racism, hatred or harm against any group or individual, or promotes discrimination based on race, ethnicity, sex, religion, nationality, disability, sexual orientation or age, and any other content, including but not limited to, text, images, music, graphics, photographs, captions and descriptions, data, codes or programs that could be considered inappropriate or offensive, as determined by Sponsor in its sole discretion. Notwithstanding the foregoing, artwork may include Colorado Rapids logos, mascots and uniforms, but not of any Supporter’s Group, non-Rapids players, former Rapids players or the logos, trademarks, uniforms, mascots or other intellectual property of the MLS or any other MLS team and such artwork will not be deemed to violate these guidelines but league rules may not allow Sponsor to make use of such artwork.

Sponsor reserves the right to disqualify any submission that it deems, in its sole discretion, to be a violation of the Official Rules or that are not in keeping with the submission guidelines specified herein or Sponsor’s image or which communicate messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to be associated. Sponsor may request entrant to modify or edit any submission so that the submission meets such guidelines. Sponsor is not obligated to use, publish or display or broadcast any submission.

Each Entrant agrees that Sponsor may use its submission(s), including entrant’s first name and state of residence, in whole or in part, for any purpose whatsoever without any additional compensation to, or right of review or approval by, you. Entrant agrees that Promotion Entities are not responsible for any unauthorized use of submissions by any third parties.

By entering the Contest, each Eligible Entrant represents and warrants that: (i) the submission is original, that he/she has all rights to the submission; (ii) that the submission was created specifically for the Contest; (iii) that the submission, in whole or in part, has not been released commercially, been previously published or won any awards; (iv) the submission does not and will not violate any law, statute, ordinance or regulation; (v) the submission is free and clear of any and all liens or claims with respect to the use of the submission in the manner authorized in these Official Rules; (vi) the submission does not infringe upon or violate the intellectual property rights of any third party and will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on copyrights, trademarks, patents or other intellectual property rights or any rights or interests of any third party, or give rise to any claims for any payment whatsoever; and (vii) the submission is not and will not be defamatory, disparaging, libelous, pornographic or obscene.

All entrants, whether an Eligible Entrant, Finalist and/or a Winner, agree that in consideration of being considered to enter this Contest, grant Sponsor and its representatives, affiliates, licensees, successors and assigns (i) the right, but not the obligation, to edit, adapt, reformat, rearrange, modify, combine with other pictures, items and/or materials, add to and/or customize any submission; and (ii) the non-exclusive, irrevocable, royalty-free, right and license to exhibit, display, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, rebroadcast, transmit, record, publicly perform, create derivative works of, distribute and synchronize in timed relation to visual elements, and or otherwise exploit, the submissions, and/or any portions or excerpts thereof, in any manner, with or without credit, including advertising, promoting and publicizing Sponsor, an unlimited number of times, in any and all media, now known or hereafter devised, in perpetuity, throughout the world, without any additional liability, obligation or additional payment of any kind to, or further review and/or approval by, entrant or any third party.

Each entrant agrees to obtain and provide, upon request from Sponsor, any documentation necessary to prove their unrestricted ownership in all contents of submission and their right to use submission as specified in these Official Rules. In this regard, each entrant (including any Winner) may be required to execute and return any required affidavit of eligibility, liability/publicity release, a release or assignment of all intellectual property rights in and to the submissions and other documentation precedent as a condition of participating in the Contest, being selected as a Finalist or Winner or receiving a prize and Sponsor reserves the right to disqualify such individual from further participation in the Contest if he or she declines to do so. Submissions will not be returned and receipt of submissions will not be acknowledged. Proof of submission will not be deemed to be proof of receipt of submission by Sponsor.

REPRESENTATIONS AND WARRANTIES: By entering the Contest, each entrant agrees that his or her submission is an original work of authorship and he or she owns all right, title and interest in the entry as of the date of submission. If the entry contains any material or elements that are not owned by the entrant and/or which are subject to the rights of third parties other than Official Rapids-Related Content, the entrant is responsible for obtaining and has obtained, prior to submission of the entry, any and all releases and consents necessary to permit the use and exhibition of the entry by Sponsor and the MLS Entities in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the entry. If any identifiable person appearing in the entry is under the age of majority in his/her state of residence, the parent or legal guardian is required to provide permission. Sponsor reserves the right to require proof of these permissions in a form acceptable to Sponsor from any entrant at any time.

Sponsor reserves the right to disqualify any entry it deems to be inappropriate, not in keeping with Sponsor’s image or that is otherwise not in compliance with these Official Rules, in its sole discretion, including but not limited to any entry that: (i) defames or invades the publicity rights or privacy of any person, living or deceased, or otherwise infringes upon any person’s personal or property rights or any other third party rights; (ii) promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message; (iii) is sexually explicit, lewd, or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity; (iv) is obscene or offensive; endorses any form of hate or hate group; (v) appears to duplicate any other submitted entries; (vi) contains trademarks, logos, or trade dress (such as costumes, distinctive packaging or building exteriors/interiors) owned by others, without permission; contains any personal identification, such as license plate numbers, personal names, email addresses or street addresses; (vii) contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission; (viii) excepting those of Sponsors, contains or references any names, products or services of any company or entity, or promotes any brand, product or service of any company or entity; (ix) contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; (x) contains look-alikes of celebrities or other public or private figures, living or dead; (xi) communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate or otherwise contains content which Sponsors in their sole discretion decide is inappropriate or objectionable; and/or; (xii) violates any law, rule or regulation.

PUBLICATION AND ASSIGNMENT OF RIGHTS TO SUBMISSIONS: By entering the Contest, entrants agree to assign all right, title, and interest, including copyright rights, in the entry to Sponsor and grant permission for Sponsor, the MLS Entities and their respective designees to publish or publicize all or part of their entry, including but not limited to entrant’s name, likeness and the artwork, in whole or in part, for advertising, promotional and trade or other purposes in conjunction with this and similar promotions in any and all media now known or hereafter developed, worldwide in perpetuity, without notice or permission and without further compensation, except where prohibited by law.

PRIZES: The Winner will receive one (1) scarf that incorporates the Winner’s artwork (collectively, the “Prize”). Approximate retail value of the Prize is thirty dollars ($30.00).

The right to receive a Prize is non-transferable and non-assignable. No cash redemption of a Prize is permitted except at Sponsor’s sole and absolute discretion. Sponsor reserves the right to substitute the any Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion. All costs and expenses associated with any acceptance and use not specified herein as being provided, including but not limited to transportation costs, parking, food and beverages, souvenirs, gratuities and other expenses incurred by accepting and making use of any Prize, are the sole responsibility of the Winner.

All federal, state, or local taxes associated with the Prize awarded in connection with the Contest are the Winner’s responsibility. A form 1099 may be issued based on the value of the Prize as required by law. Winner may be required to execute and return any required affidavit of eligibility and/or liability/publicity release. To the extent requested, all such forms will be completed and returned within twenty-four (24) hours or Sponsor may disqualify a Winner. Refusal or return of such documents as non-deliverable or Winner’s noncompliance with these Official Rules will also result in disqualification and forfeiture of the Prize and, at Sponsor’s sole discretion and time permitting, may cause an alternate Winner to be selected from among all remaining eligible entries.

NOTIFICATION: Each potential winner must continue to comply with the Official Rules. Winning is contingent upon fulfilling all requirements. The Winner will be notified by e-mail, mail and/or telephone (in the sole discretion of Sponsor) by the Sponsor. In the event that the Winner does not respond to any such notification within three (3) days of the date of issuance, a disqualification will result, the Prize will be forfeited and, at Sponsor’s sole discretion and time permitting, an alternate Winner may be selected based on the judging criteria outlined above.

WAIVER OF LIABILITY; PUBLICITY RELEASE: By participating in the Contest and submitting an entry, each entrant agrees to (i) be bound by these Official Rules, including all entry requirements, and (ii) waive any and all claims or cause of action against the Sponsor, the MLS Entities, and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, representatives and advertising and promotion agencies, and any and all other companies associated with the Contest, and all of their respective officers, directors, employees, agents and representatives (collectively, “Released Parties”) arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) interrupted or unavailable network, server, Internet Service Provider (“ISP”), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the Prize[s] or in any Contest-related materials, (b) incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest; (c) late, lost, stolen, incomplete, illegible, misdirected, damaged, garbled, delayed, or undelivered mail, inaccurate, postage-due or garbled entries, via e-mail or mail; (d) injury or damage to entrants’ or to any other person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website; (e) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt of any prize (f) cancellation or postponement of any MLS game, season, event or exhibition; (g) any travel or activity related to the receipt or use of any Prize. The Winner, by acceptance of Prize, grants to Sponsor, the MLS Entities and each of their respective designees the right to publicize such Winner’s name, address (city and state of residence), photograph, voice and/or other likeness and prize information in any and all media now known or hereafter devised, throughout the world, in perpetuity, without additional compensation or consideration, notification or permission, unless prohibited by law.

GENERAL CONDITIONS: Entries generated by a script, macro or other mechanical or automated means or by any means which subvert the entry process will be disqualified. The Contest is a skill contest designed to increase consumer awareness of and interest in Sponsor and MLS. This Contest may not be used for any form of gambling. In the event that the Contest is challenged by any legal or regulatory authority, Sponsor reserves the right to discontinue or modify the Contest, or to disqualify Participants residing in the affected geographic areas. In such event, Released Parties shall have no liability to any Participants who are disqualified due to such an action.

Sponsor reserves the right in its sole discretion to disqualify any person (including an entrant) Sponsor suspects or finds: (i) to have tampered with the entry/selection process or the operation of Promotion; (ii) to be acting in a disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Promotion, or with the intent to annoy, abuse, threaten or harass any other person; (iii) to display behavior that will bring Sponsor or Promotion Entities into disgrace; (iv) to have provided inaccurate information on any legal documents submitted in connection with Promotion; or (v) to be acting in violation of these Official Rules. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor reserves the right to cancel or modify the Contest if fraud or other difficulties compromise the integrity of the Contest, as determined by Sponsor in its sole discretion. Sponsor reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Promotion. ANY VIOLATION OF THESE OFFICIAL RULES BY A WINNER WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS A WINNER OF THE CONTEST AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED.

Released Parties (i) do not make any warranty, guaranty or representation of any kind concerning the Contest or a Prize (other than that any autographed memorabilia that may be awarded as a Prize is authentic and that items described as player-used have been actually used by a player) and (ii) to the extent permitted by law, disclaim any and all express and implied warranties (including, without limitation, quality, merchantability and fitness for a particular purpose) relating to the Contest and the Prize(s). Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND MLS WILL DISQUALIFY ANY SUCH ENTRANT AND SPONSOR AND THE MLS ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

INDEMNITY; DISPUTES: By participating in the Contest, all entrants agree to indemnify and hold harmless each of the Released Parties from any and all liability arising out of or relating in any way to the entrant’s participation in the Contest. Except where prohibited by law, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the State and Federal courts located in the County of Denver, State of Colorado; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH PARTICIPATING THIS PROMOTION AND/OR RECEIVING A PRIZE, BUT IN NO EVENT ATTORNEYS’ FEES; AND (3) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM, INDIRECT, PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of an entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Colorado without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State Colorado. If any provision of these Official Rules is declared invalid or unenforceable, such provision will be deemed modified to the extent necessary and possible to render it valid and enforceable. In any event, the unenforceability or invalidity of any provision will not affect any other provision of these Official Rules, and these Official Rules will continue in full force and effect, and be construed and enforced, as if such provision had not been included, or had been modified as described above, as the case may be. Entrants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction that they may have.
